1. Acceptance of Terms

By accessing or using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.

2. Eligibility

You represent that you:

  • Are at least 18 years old
  • Have legal capacity to contract
  • Use the Platform for business purposes, on your own behalf or with authority to bind your entity

3. Services

GimBooks is a cloud-based software service providing tools for:

  • GST-compliant invoicing and billing
  • Accounting and bookkeeping
  • Inventory, expense tracking, and reports

No Financial Services: GimBooks does not provide banking, payment settlement, wallet, or lending services.

4. Account, Security, and Use

  • You must provide accurate, current information
  • You must maintain confidentiality of credentials
  • You are responsible for all activity under your account, including by employees, agents, or accountants
  • You will use the Platform only for lawful purposes

5. Multi-User Access & Responsibility

  • You may create or permit multiple users and assign roles
  • You are solely responsible for permission management and all sub-user actions
  • All actions by sub-users are deemed your actions

GimBooks is not liable for internal misuse, errors, or fraud.

6. Subscriptions, Fees, and Taxes

  • Paid subscription plans (monthly/annual)
  • Fees, features, and limits may change with prior notice (in-app/email)
  • Non-payment may suspend or limit access
  • All fees are exclusive of applicable taxes unless stated otherwise

7. Refunds

  • Fees are non-refundable, except where required by law or expressly stated
  • No pro-rata refunds for partially used periods
  • The customer can claim the refund within 3 days, and the refund will be reflected in the source account (10-15 days as per bank policy)

8. Data Ownership, License, and Retention

  • You retain ownership of your data ("Customer Data")
  • You grant GimBooks a limited, non-exclusive license to host, process, and transmit Customer Data to provide the Services
  • We may use aggregated/anonymized data for analytics and product improvement
  • We retain Customer Data during an active subscription and for a limited post-expiry period as per policy

9. Data Export & Deletion

  • You may export available Customer Data during an active subscription or within a limited period after expiry
  • After the retention window, data may be deleted or irretrievable
  • Export formats and scope are as supported by the Platform

You are responsible for maintaining independent backups.

10. Availability; No SLA

The Platform is provided on an "as is" and "as available" basis.

  • No guarantee of uninterrupted, secure, or error-free operation
  • Maintenance, upgrades, and third-party issues may cause downtime
  • No uptime commitment or SLA is provided

11. Third-Party Services

The Platform may integrate with third parties (e.g., GST systems, cloud providers).

  • We do not control third-party services
  • We are not liable for third-party downtime, errors, or data discrepancies

12. GST & Tax Disclaimer

GimBooks is a tool, not a tax advisor.

  • Outputs depend on user inputs and configurations
  • We do not warrant accuracy, completeness, or compliance of tax calculations or filings
  • You are solely responsible for verification and compliance, including GST filings

No Liability: GimBooks shall not be liable for penalties, interest, notices, or losses arising from tax errors or filings.

13. Acceptable Use

You shall not:

  • Use the Platform for illegal or fraudulent activities
  • Attempt unauthorized access, reverse engineering, or interference
  • Upload malicious code or misuse credentials

14. Suspension and Termination

We may suspend or terminate access if:

  • You breach these Terms
  • There is suspected fraud or abuse
  • Fees remain unpaid

We may also discontinue features with reasonable notice.

15. Intellectual Property

All rights, title, and interest in the Platform (including software, UI, trademarks, and content) remain with GimBooks. No rights are granted except as expressly set out.

16. Confidentiality

Each party will keep the other's non-public information confidential and use it only to perform under these Terms, except as required by law.

17. Indemnity

You shall defend, indemnify, and hold harmless GIM Info Solutions Private Limited, its directors, employees, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use or misuse of the Platform
  • Customer Data, including its accuracy and legality
  • Actions of your sub-users
  • Violation of applicable laws or third-party rights

18. Disclaimer of Warranties

To the maximum extent permitted by law, the Platform is provided without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.

19. Limitation of Liability

To the maximum extent permitted by law:

  • GimBooks shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business interruption
  • GimBooks' aggregate liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim

20. Force Majeure

Neither party is liable for failure or delay due to events beyond reasonable control, including natural disasters, internet or power outages, governmental actions, labor disputes, or third-party service failures. Obligations are suspended for the duration of such events.

21. Dispute Resolution & Arbitration

  • The parties shall first attempt to resolve disputes amicably within 30 days of written notice
  • If unresolved:
    • Disputes shall be finally settled by arbitration under the Arbitration and Conciliation Act, 1996
    • Sole arbitrator appointed by mutual agreement; failing which, appointed in accordance with the Act
    • Seat and venue: Raipur, Chhattisgarh
    • Language: English
    • The award shall be final and binding

Nothing prevents either party from seeking interim relief from competent courts.

22. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to arbitration, courts at Raipur, Chhattisgarh shall have exclusive jurisdiction for interim measures and enforcement.

23. Changes to Terms

We may update these Terms with notice. Continued use constitutes acceptance of the updated Terms.

24. Entire Agreement; Severability; Waiver

  • These Terms constitute the entire agreement between the parties regarding the Platform
  • If any provision is held invalid, the remainder shall continue in effect
  • Failure to enforce any provision is not a waiver
